End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("you", "your", or "Licensee") and Basics Studio AB, operating as Adobe Basics ("Adobe Basics", "we", "us", or "our").

This EULA applies to digital products made available by Adobe Basics, including but not limited to presets, templates, Motion Graphics Templates (MOGRTs), LUTs, project files, plugins, applications, extensions, scripts, graphics, downloadable assets and related files (collectively, the "Products").

By purchasing, downloading, installing, accessing or using a Product, you agree to this EULA.

If a Product is subject to separate or additional license terms displayed on its product page, those terms also apply. If there is a conflict between this EULA and product-specific license terms, the product-specific terms will apply to that Product.

Nothing in this EULA limits any rights you have under mandatory applicable consumer law.

1. License Grant

Subject to this EULA and any product-specific terms, Adobe Basics grants you a limited, non-exclusive, non-transferable and non-sublicensable license to use the Product.

Purchasing or downloading a Product gives you a license to use the Product. It does not transfer ownership of the Product or its intellectual property to you.

Unless otherwise stated on the applicable product page, the license includes commercial use as described below.

2. Commercial Use

You may use the Product to create finished content for both personal and commercial purposes.

Permitted uses include, but are not limited to:

  • YouTube videos and other monetized online content;

  • social media content;

  • advertisements and promotional content;

  • films, videos and audiovisual productions;

  • client projects;

  • freelance editing work;

  • content created for your own business or employer;

  • streaming and broadcast content; and

  • other finished creative works.

You may monetize, publish, distribute and commercially exploit finished content that you create using the Product.

There is no limit on the number of finished projects you may create unless the applicable product page expressly states otherwise.

3. Client Work

You may use Products in work created for clients.

You may provide your client with the finished rendered or exported work.

However, unless the client has their own valid license, you may not provide them with the original Adobe Basics Product files or otherwise give them independent access to the Product.

For example, you may use an Adobe Basics preset in a client's finished video, but you may not send the preset file itself to the client for their future use.

If editable project files delivered to a client contain an Adobe Basics Product in a form that allows the Product to be extracted, copied or independently reused, the client must obtain their own license unless otherwise expressly permitted by Adobe Basics.

4. Prohibited Uses

You may not, directly or indirectly:

  • sell, resell, redistribute, sublicense, share, lend or give away a Product or its source files;

  • upload or distribute a Product through a marketplace, asset library, template website, file-sharing service, cloud folder, torrent or similar service;

  • make a Product available for download by another person;

  • share your download access, account or license with unauthorized users;

  • repackage a Product and sell or distribute it as your own;

  • make minor or substantial modifications to a Product and then sell or distribute the modified Product as a standalone asset;

  • include a Product in another preset pack, template pack, asset pack, plugin, software product or similar downloadable product;

  • claim ownership or authorship of an Adobe Basics Product;

  • remove or circumvent license enforcement, access controls, activation systems or technological protection measures;

  • reverse engineer, decompile or disassemble software Products except to the extent such restriction is prohibited by applicable law; or

  • use a Product in a manner that allows another person to extract and independently use the underlying Product.

Creating finished content using a Product is permitted. Redistributing the Product itself is not.

5. Individual, Team and Device Licenses

Unless otherwise stated on the applicable product page, a license is issued to the individual or legal entity that purchased the Product and is subject to any user, seat, device or installation limits displayed at the time of purchase.

A license purchased for one user may not be shared between multiple unrelated users.

Products that offer different license tiers, such as individual, multi-device, team or business licenses, may only be used within the limits of the license tier purchased.

Additional users, devices or team members may require additional licenses.

6. Accounts and License Keys

Some Products may require an Adobe Basics account, license key, activation or internet connection to install, activate, verify or manage the Product.

You are responsible for keeping account credentials and license keys secure.

License keys may not be sold, transferred, published, shared or made available to unauthorized users.

We may use reasonable technical measures to verify that a license is being used in accordance with the applicable license limits.

7. Product Compatibility

Product compatibility requirements are stated on the applicable product page where relevant.

You are responsible for ensuring that your system, software and hardware meet the stated requirements before purchasing or using the Product.

Adobe Basics does not control third-party software or platforms, including Adobe Premiere Pro, Adobe After Effects, operating systems, hardware or third-party plugins.

Updates or changes made by third parties may affect how a Product functions.

We do not guarantee compatibility with software versions, operating systems, hardware or third-party services that are not expressly stated as supported.

Nothing in this section affects rights or remedies that cannot legally be excluded under applicable consumer law.

8. Updates

Some Products may include updates.

If a product page expressly states that the Product includes free updates, lifetime access or similar benefits, those benefits form part of the applicable Product offering.

Unless expressly promised otherwise, free updates do not mean that Adobe Basics is required to continuously develop new features, redesign the Product or guarantee compatibility with every future version of third-party software indefinitely.

We may determine the content, timing and availability of future updates, subject to obligations under applicable law and any specific promises made when the Product was purchased.

Major new products, separate applications or substantially different future products may be sold separately unless expressly included with your purchase.

9. Lifetime Access

Where a Product is advertised as including "Lifetime Access", this means that your license to the purchased Product does not expire solely because a fixed subscription period has ended.

Lifetime Access does not mean that third-party software, operating systems, download infrastructure or other services outside our control will exist indefinitely.

Nothing in this section limits any specific commitment stated on the applicable product page or any mandatory rights under applicable law.

10. Intellectual Property

All Products, including their design, source files, code, animations, presets, expressions, graphics, documentation, branding and other included materials, are owned by or licensed to Basics Studio AB and are protected by applicable copyright and other intellectual property laws.

Except for the limited license expressly granted under this EULA, no rights, title or ownership interest in a Product are transferred to you.

All rights not expressly granted are reserved by Basics Studio AB and its licensors.

11. Third-Party Rights

Certain Products may be designed for use with third-party software or services.

References to third-party companies, products or trademarks are provided only to identify compatibility or intended use and do not imply ownership, sponsorship or endorsement unless expressly stated.

Adobe, Premiere Pro, After Effects and related trademarks belong to their respective owners. Basics Studio AB and Adobe Basics are independent from Adobe Inc. unless expressly stated otherwise.

12. Support

Where support is offered for a Product, we will make reasonable efforts to assist with issues relating to installation, downloading and use of the Product.

Support does not include issues caused solely by unsupported software versions, incompatible third-party products, modifications made by the user, hardware problems or circumstances outside our reasonable control.

Any specific support commitments advertised on the applicable product page remain applicable.

13. Disclaimer of Warranties

We make reasonable efforts to ensure that Products perform as described and are supplied in accordance with applicable law.

To the fullest extent permitted by applicable law, and except for warranties, guarantees or rights that cannot lawfully be excluded, Products are provided without additional warranties beyond those expressly stated by Adobe Basics.

We do not guarantee that every Product will meet every individual workflow, creative preference or intended use.

We also cannot guarantee uninterrupted compatibility with future versions of third-party software or services that are outside our control.

Nothing in this EULA excludes or limits statutory warranties, conformity requirements or other rights available to consumers under applicable law.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Adobe Basics is not responsible for loss or damage resulting from:

  • use of a Product with unsupported software, hardware or operating systems;

  • modifications to a Product made by you or a third party;

  • failure to follow installation or usage instructions;

  • third-party software, services, updates or changes outside our reasonable control;

  • unauthorized use of a Product; or

  • use of a Product outside its intended purpose.

For customers purchasing primarily for purposes relating to their trade, business or profession, Adobe Basics will, to the fullest extent permitted by applicable law, not be liable for indirect or consequential losses, including loss of profits, revenue, anticipated savings, business opportunities, goodwill or data.

For such business customers, except where liability cannot legally be limited, the aggregate liability of Basics Studio AB arising from a particular Product or transaction will not exceed the amount paid for the Product giving rise to the claim.

Nothing in this EULA excludes or limits liability where doing so would be prohibited by applicable law, including liability arising from fraud, wilful misconduct or gross negligence, or any mandatory rights available to consumers.

15. Consumer Rights

If you are purchasing primarily for purposes outside your trade, business or profession, you may have rights under applicable consumer protection legislation.

Nothing in this EULA is intended to exclude, restrict or replace those mandatory rights.

If any part of this EULA conflicts with a mandatory consumer protection rule applicable to you, the mandatory rule will prevail to the extent of the conflict.

Rights relating to defective, non-conforming or incorrectly supplied digital content remain unaffected.

16. Refunds and Withdrawal Rights

Refunds and withdrawal rights are governed by the Adobe Basics Refund Policy and applicable law.

For digital content supplied immediately after purchase, statutory withdrawal rights may cease once delivery begins where you have expressly consented to immediate delivery and acknowledged the resulting loss of the withdrawal right in accordance with applicable law.

This does not limit rights relating to defective or non-conforming digital content.

17. Termination

Your rights under this EULA may be terminated if you materially breach its terms.

If your license is terminated due to a material breach, you must stop using the Product and delete copies in your possession or control, except where retention is required by law.

Termination does not affect finished projects that were lawfully created and distributed before termination, unless continued use would itself violate applicable law or third-party rights.

Where appropriate, we may provide you with an opportunity to remedy a breach before terminating your license.

Nothing in this section limits mandatory rights under applicable law.

18. Copyright Infringement and Unauthorized Distribution

Unauthorized sharing, resale or redistribution of Adobe Basics Products may infringe copyright and other intellectual property rights.

We reserve the right to take reasonable measures to protect our Products and intellectual property, including suspending compromised license keys or download access, requesting removal of unlawfully distributed copies and pursuing remedies available under applicable law.

19. Changes to This EULA

We may update this EULA from time to time, for example to reflect new Products, changes in law or changes to our services.

Unless required by law or agreed with you, changes will not retroactively remove material rights granted to you under the license terms applicable when you purchased a Product.

The version of the EULA applicable to your purchase will generally be the version in effect when the purchase was made, together with any later changes that you expressly accept or that may lawfully apply.

20. Governing Law

This EULA is governed by the laws of Sweden.

If you are a consumer residing in another country, this choice of law does not deprive you of mandatory consumer protections that apply to you under applicable law.

21. Disputes

If you have a problem with a Product, please contact Adobe Basics first so that we have an opportunity to resolve the issue.

Consumers may have the right to refer eligible disputes to the Swedish National Board for Consumer Disputes (Allmänna reklamationsnämnden, ARN) or another competent alternative dispute resolution body.

Nothing in this EULA limits a consumer's right to bring a claim before a court that has jurisdiction under applicable law.

For customers purchasing primarily for purposes relating to their trade, business or profession, disputes arising out of or relating to this EULA shall be subject to the jurisdiction of the Swedish courts, with Stockholms tingsrätt as the court of first instance unless otherwise required by applicable law or agreed between the parties.

22. Severability

If any provision of this EULA is found to be invalid, unlawful or unenforceable, that provision will apply to the maximum extent permitted by law and the remaining provisions will remain in effect.

23. No Waiver

A failure by Basics Studio AB to enforce a provision of this EULA on one occasion does not constitute a waiver of the right to enforce that provision in the future.

24. Entire License Agreement

This EULA, together with any product-specific license terms and other terms expressly incorporated into it, constitutes the agreement governing your license to use the Product.

The purchase transaction itself may also be subject to the Adobe Basics Terms of Service, Refund Policy and Privacy Policy.
